Terms of Use – Asisiwa

Welcome to Asisiwa. These Terms of Use ("Terms") form a legally binding agreement between you ("User", "you") and Asisiwa ("we", "us", "our") governing your use of the Asisiwa,also known as Asisiwa.com website and any related services (the "Platform").

By accessing,registering or using Asisiwa.com,and clicking the checkbox of “ I have read and agree to terms of use” you agree to be bound by all the terms and conditions of this Agreement. This Agreement may be updated from time to time.If you do not agree, please do not use our services. Use of our platform is also subject to our [Privacy Policy].

1. Eligibility and Account Registration

To use certain features on Asisiwa, users must create an account and register as either a buyer or a seller.

By registering:

You confirm that you are at least 18 years old.

You agree to provide accurate and complete information.

You are responsible for safeguarding your login credentials and for all activities under your account.

You agree not to create duplicate or fraudulent accounts.

If you register on behalf of an entity, You represent and warrant that you have the requisite Right,Power and Authority to enter into this Agreement with Asisiwa.com.You warrant that you will make available to us any documentation we may require to prove your authorization and to verify your information from time to time.You warrant that you will update all information you provide Asisiwa.com with regards to your use of Asisiwa services.

We reserve the right to suspend or terminate accounts for violations of these Terms or any suspicious activity.

2. Platform Use

Asisiwa.com is a digital marketplace that enables:

Sellers purchase subscription plans and post product listings.

Buyers can browse listings, contact sellers, and negotiate purchases via our messaging system.

We are not a party to any transactions between users. All transactions are conducted solely between buyers and sellers.

3. Subscription Plans & Payments

Asisiwa Platform provides free services, however Sellers can upgrade to purchase subscription plans to get an online store to post listings. Each plan includes a defined number of posting credits.

All purchases are final and non-refundable, unless otherwise stated.

Sellers are responsible for ensuring their payment information is accurate and up to date.

We reserve the right to modify pricing, plan terms, and billing methods.

4. User Responsibilities

a. AgreementBy using Asisiwa.com, you agree to: Post accurate, legal, and non-misleading listings.

Communicate respectfully and conduct transactions honestly.

Not use the Platform to sell prohibited or illegal items.

Not engage in spam, harassment, or abusive behavior.

Not infringe on intellectual property or other rights of third parties.

b. Customer Service

1. User Obligations. Users together with Asisiwa.com will bear the responsibility for all customer service, except for issues related to payment, as otherwise outlined herein. In performing such customer service, you will always represent yourself as a separate entity from Asisiwa.com You will not disparage Asisiwa or its affiliates or its products or services when performing customer service obligations or any other obligations under this Agreement. If you monitor or record customer service calls, you must give notice of such monitoring or recording to all customers during each such call prior to providing any such customer service in accordance with the applicable local law

c. Reporting and Audit Rights.

ii. Reporting. You will, within a reasonable period (not more than 30 days) following request from Asisiwa.com, provide Asisiwa.com with any reports, information or other documentation relating to your compliance with this Agreement and applicable Law reasonably requested by Asiswa.com. In the event Asisiwa.com requests that you provide Asisiwa.com with copies of reports that you were required to file with the Consumer Product Safety Commission, Food and Drugs Board, Ghana Standard Board or any other regulatory agency, you will provide such reports within 7 days of Asiswa.com request.

iii. Audit Rights. You will keep accurate and complete books, record, product testing, compliance information and records, and accounts related to your Products, the Marketplace Program, and this Agreement, and will allow Asisiwa.com , or its duly authorized representatives, the right, upon not less than 7 business days prior notice ,during the term of this Agreement and for two(2) years after its termination or expiration to conduct ,during regular business hours, full and independent audits and investigations of all information, books, records, product testing, compliance information and records, and accounts reasonably required by Asisiwa.com to confirm your compliance with the terms of this Agreement and applicable Law. The cost of any, and all audits shall be borne by you. Asisiwa.com may under its sole discretion require you to submit your products to additional audit and compliance testing which shall be at your sole expense and cost.

d. Ratings and Reviews. Asisiwa.com may use mechanisms that rate or review, or allow shoppers to rate or review, your Products and your performance as a seller and Asisiwa.com may make these ratings publicly available. Asisiwa.com will have no liability to you for the content or accuracy of any ratings or reviews, and Asisiwa.com will have no liability or responsibility to review or moderate such ratings or reviews. You will have no ownership interest in or license to use any rating or reviews posted on the Asisiwa.com Sites.

e. Suggestions and Feedback If you provide or make available suggestions, comments, ideas, improvements or other feedback or materials to Asisiwa.com or its affiliates in connection with the Asisiwa.com Marketplace Services, or other subject matter of this Agreement, Asisiwa.com will be free to disclose, reproduce, modify, license, transfer and otherwise distribute, and use and exploit any of the foregoing feedback or materials in any manner.

f. Termination and Suspension.Asisiwa.com may immediately terminate or suspend your participation in the Asisiwa.com Marketplace services, your access to Asisiwa.com Services or the Asisiwa.com Tools, or remove your listings at any time in its sole discretion if you violate the terms of this Agreement.Asisiwa.com may terminate this Agreement with you at any time in its sole discretion without notice to you on Seller Center or otherwise.

5. Prohibited Items and Activities

You agree not to post, promote, or sell:

Counterfeit, stolen, or illegal goods

Adult content or services

Weapons, drugs, or hazardous materials

Any content promoting hate, violence, or discrimination

6. Disclaimers and Limitation of Liability

Asisiwa provides the Platform "as is" and makes no warranties regarding listings, seller behavior, or transaction outcomes.

We are not responsible for product quality, seller reliability, or buyer conduct.

Users are responsible for verifying listings and meeting in safe, public locations.

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages.

7. Intellectual Property

All content posted by users remains their property. However, by using the Platform, users grant Asisiwa a worldwide, non-exclusive license to use, display, and share their content for operational and promotional purposes.

All other content, including the Asisiwa brand, design, and software, is our intellectual property and may not be copied or reused without permission.

8. Termination

We may suspend or terminate your access to Asisiwa:

For violation of these Terms

For fraudulent or suspicious activity

At our sole discretion, with or without notice

You may close your account at any time by contacting support.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of [Your Country]. Any disputes arising from these Terms or your use of the Platform shall be resolved in accordance with applicable local laws.

10. Changes to Terms

We reserve the right to update these Terms at any time. If we make significant changes, we will notify users via the Platform or email. Continued use of the Platform after changes means you accept the updated Terms.
